1. General terms and conditions
The terms and conditions indicated below form an integral part of the contracts concluded between the seller and the buyer for the supply of the seller's products.
The General Conditions of Sale apply to all the transactions concluded between the seller and the buyer without the need for an express reference to them or a specific agreement at the conclusion of each individual contract.
Any different terms or conditions apply only if confirmed in writing by the seller.
The General Conditions of Sale are written in Italian and English languages.

2. Object of the contract
The contract includes exclusively what indicated in the contract or in the order confirmation.
The characteristics and quality of the products covered by the order are to be considered purely indicative and not binding for the seller.
For the detailed description of the products and their technical specifications, only the information included in the order confirmation and in the contracts will be valid.

3. Orders and acceptance
Orders are valid as an irrevocable purchase offer for those who place them and are not binding for the seller, who reserves the right to accept them.
As an example, the seller reserves the right to not accept the order if the buyer:
1. is or has previously been in default, in any capacity, against the seller;
2. is registered in the list of protests or is subject to executive procedures;
3. is in a state of compulsory or voluntary liquidation or is subject to insolvency proceedings;
4. is in conditions such as to endanger the regular payment of the goods covered by the contract, on the basis of analyzes carried out for the purpose of preventing and controlling the risk of insolvency, fraud control and credit protection.
In any case, the seller reserves the right to subordinate the acceptance of the order to specific payment methods and/or to the issue of a suitable guarantee.
Any additions or modifications made to the order, even by seller's agents, will not be binding on the seller who may accept or refuse them without prejudice to the original order.
Forwarding the order automatically implies acceptance of these General Conditions of Sale.
Orders are not considered accepted until they have been confirmed in writing by the seller.

4. Prices
The prices of the Products are exclusively those indicated in the order confirmation.
The prices in euros (€) indicated in our offers are understood to be fixed and invariable only for the period of validity of the offers, unless expressly stipulated to the contrary which may be specified in the special conditions of sale and supply.
Outside the period of validity of the offers, the seller reserves the right to modify the prices at any time and without notice.

5. Incoterms
Unless otherwise agreed, the supply of the goods is understood to be EXW (Ex Works).

6. Payment terms
The payment terms will be those specified in the order confirmation.
Payments shall be made without any deduction for compensation or claims. If the buyer doesn’t make the payment within the agreed term, he’ll be required to pay the overdue interest in force during the period.

7. Terms of delivery
Delivery terms change in consideration of the products ordered and the specific requests made by the buyer; The delivery terms must always be considered indicative and are not binding for the seller.
The seller reserves the right to reasonably make partial deliveries.
  
8. Complaints and disputes
Any complaints relating to the state of the packaging, quantity, number or characteristics / specifications concerning the supply of goods must be notified to the seller within eight (8) days of delivery of the products.
Any complaints or disputes don’t entitle the purchaser to suspend or in any case delay payments for the disputed products or other supplies.
   
9. Force majeure
The delivery terms indicated and accepted are intended to be valid only in normal working conditions. Wars, strikes, epidemics, transport interruptions, shortages of materials, accidents and any other event which causes the total or partial suspension of work are to be considered as causes of force majeure which authorize the seller to cancel or suspend orders and contracts.

10. Applicable law and jurisdiction
For any controversy deriving from the interpretation and execution of the contract and the General Conditions of Sale, Italian law will apply and the Court of Milan will have exclusive jurisdiction, with the exclusion of any other alternative court.
